Proxim to acquire Netopia

Following its acquisition of Farallon last year, Proxim has announced that it will acquire Netopia in a stock-for-stock merger. Proxim provides wirefree networking solutions to homes, enterprises and service providers, while Netopia is best known on the Mac platform for Timbuktu Pro, netOctopus, and its line of routers.

O.K., I've got a question: Why didn't Proxim just buy the whole Farallon package before it split into two entities? Wasn't the split precipitated in the first place by Proxim's acquisition of Farallon's hardware unit?
